1. Introduction

Welcome to Adorize Ltd ("Adorize," "we," "us," or "our"). These Terms of Service ("Terms") set forth the terms and conditions governing the use of our website and its services (together, the "Platform"). By creating an account, accessing, or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and any other legal documents we provide.

If you do not agree with these Terms, you should not access, use, or register an account on the Platform.

2. Eligibility

By signing up for Adorize and using the Platform, you represent that:

  • You are at least 18 years old or the legal age of majority in your country of residence if higher.
  • You have the legal capacity to enter into a contract and agree to be bound by these Terms.
  • You are not based in a country or region that is subject to government sanctions, and you certify that your use of our Platform does not infringe on any applicable local, state, national, or international laws.

3. User Accounts

a. Account Creation

To access certain features of the Platform, you need to register an account. During the registration process, you agree to:

  • Provide accurate, complete, and up-to-date information.
  • Create a unique and secure password.
  • Maintain the confidentiality of your details and restrict access to your account to others.

We hold the right to suspend or terminate your account if you fail to maintain the security of your account or if you provide false or misleading information.

b. Account Types

There are two primary types of accounts on Adorize:

  • Creators: Users who publish content and may offer it for free or as part of a paid subscription.
  • Subscribers: Users who follow or subscribe to Creators, either for free or by paying for premium content.

4. Content on Adorize

a. User-Generated Content

You are solely responsible for any content you upload, share, or publish on Adorize, including but not limited to photos, videos, messages, and posts ("User Content"). By uploading content, you affirm that:

  • You own or have all necessary rights to the User Content.
  • The User Content does not infringe upon any third party’s intellectual property or privacy rights.
  • You grant Adorize a non-exclusive, worldwide, royalty-free license to store, display, distribute, and promote your User Content as necessary to operate and improve the Platform.

We do not claim ownership of User Content but reserve the right to review, monitor, or remove content that violates these Terms or applicable laws.

b. Prohibited Content

You may not upload or share the following types of content on Adorize:

  • Adult content featuring individuals under 18 or that is non-consensual.
  • Copyrighted material for which you do not have explicit permission to distribute.
  • Content promoting hatred, violence, terrorism, discrimination, or harassment.
  • Spam, false advertising, or malware.
  • Any illegal or harmful content under applicable laws.

Violating these rules may result in suspension or termination of your account, and we may report such violations to law enforcement when appropriate.

5. Subscription Services and Payments

a. Subscriptions

Creators may offer content on a subscription basis, charging Subscribers a monthly fee ("Subscriptions") to access exclusive content. Payment for subscription services is processed via third-party payment processors, and your payments are subject to their terms and conditions.

b. Fees

As a Subscriber, you agree to pay all applicable fees for access to subscription-based content. Subscription payments will be automatically charged unless canceled. You are responsible for keeping your payment details current and ensuring sufficient funds or credit availability.

c. Refunds

Subscriptions are typically non-refundable. However, at our discretion and where required by law, we may issue a refund if the service has not been provided as described or for other legitimate reasons. For refund inquiries, contact [email protected].

d. Revenue Sharing for Creators

Creators earn a percentage of subscription revenue and tips sent by followers. The revenue share and payout conditions are outlined in a separate agreement visible during account creation or in our Creator Dashboard. Adorize will provide payouts on a regular basis via third-party payment processors.

Taxes are the Creator’s sole responsibility and must comply with tax obligations in their jurisdiction.

6. Restrictions on Usage

By using the Platform, you agree to NOT:

  • Use the Platform for illegal purposes or promote unlawful activities.
  • Circumvent any content, privacy, or security protections provided on the Platform.
  • Use bots, spiders, scrapers, or automated scripts to interact with the Platform.
  • Use the Platform to impersonate any individual or organization.
  • Attempt to reverse-engineer, decompile, or derive source code from the Platform.

7. Intellectual Property Rights

a. Ownership

All technology, design, trademarks, logos, and content created by Adorize or licensed to Adorize remain the exclusive property of Adorize. These Terms do not grant you any rights to use or reproduce any intellectual property other than as explicitly allowed on the Platform.

b. Infringement Claims

If you believe that your copyrighted work has been infringed upon by User Content, please contact us at [email protected] with a detailed explanation that complies with the Digital Millennium Copyright Act (DMCA) or relevant copyright laws.

8. Privacy

Your use of the Platform is governed by our Privacy Policy. By using the Platform, you acknowledge that you have read and understood how your data is collected, processed, and used per GDPR and other applicable privacy laws.

9. Termination

a. By You

You may terminate your account at any time by following the account deletion process in your account's settings or by contacting us at [email protected].

b. By Us

We may suspend or terminate your account, or your use of the Platform, for any of the following reasons:

  • Breaching any of these Terms.
  • Engaging in illegal activities or exposing Adorize to legal liability.
  • Acting in a way that harms the platform or other users.

If your account is terminated, you agree to forfeit any subscriptions or revenue accrued.

10. Limitation of Liability

Adorize Ltd and its affiliates, directors, officers, and employees will not be liable to you for any indirect, incidental, special, or consequential damages resulting from your use of the Platform. You agree that our total liability in connection with these Terms, your account, or use of the Platform will be limited to the amount of money you paid directly to us within the past 12 months, but in no event will it exceed $500.00 USD.

11. Indemnification

You agree to indemnify, defend, and hold Adorize Ltd, its subsidiaries, affiliates, officers, agents, and licensors harmless from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of:

  • Your use of the Platform.
  • Your breach of any part of these Terms.
  • Any violation of intellectual property, privacy, or other legal rights caused by your User Content.

12. Amendments to These Terms

We reserve the right to change or update these Terms at any time. When we make changes, we will revise the "Effective Date" at the top of this document. If changes are significant, we will notify you via email or post a notification on the Platform. Continued use of the Platform after the changes become effective constitutes your agreement to the revised Terms.

13. Governing Law and Disputes

These Terms shall be governed and construed under the laws of Cyprus without regards to its conflict of law principles. Any disputes or claims arising from these Terms shall be exclusively heard by the courts of Cyprus.
